Carelix Terms and Conditions

These Subscription Terms and Conditions ("Terms") form a binding agreement between you ("you" or "Customer") and Carelix ("Carelix," "we," "us," or "our") and govern your enrollment in and use of the Carelix Recovery Cream subscription program (the "Subscription"). Please read these Terms carefully. By placing an order, you agree to these Terms and authorize us to charge your payment method on a recurring monthly basis until you cancel.

If you do not agree to these Terms, do not place an order.


1. Summary of Key Subscription Terms

For your convenience, here is a plain-language summary of the most important terms. The full terms below control in the event of any inconsistency.

  • What you get: One (1) tube of Carelix Recovery Cream shipped to you each month.
  • What you pay: $19.00 USD per month, plus any applicable taxes and shipping fees disclosed at checkout.
  • When you're charged: Your payment method is charged today for your first month, then automatically every month on the same calendar day until you cancel.
  • Auto-renewal: Your Subscription renews automatically each month. There is no fixed end date.
  • How to cancel: Email hello@carelix.health at any time. See Section 6 for details and timing.
  • Minimum commitment: None. You may cancel at any time.

2. Eligibility

To enroll, you must (a) be at least 18 years of age, (b) be a legal resident of the United States with a valid U.S. shipping address, and (c) have legal authority to use the payment method you provide. By placing an order, you represent that all of the above are true.


3. Enrollment and Express Consent

By clicking "Place Order," "Subscribe," "Buy Now," or any similar button at checkout, you:

  1. Acknowledge that you have read, understood, and agreed to these Terms;
  2. Expressly consent to be enrolled in a recurring monthly Subscription;
  3. Authorize Carelix and its payment processors to charge $20.00 USD per month, plus any applicable taxes and shipping, to the payment method you provide; and
  4. Authorize these charges to continue automatically, on a recurring monthly basis, until you cancel in accordance with Section 6.

This is your express informed consent to recurring billing as required under the federal Restore Online Shoppers' Confidence Act (ROSCA) and applicable state automatic renewal laws.


4. What You Receive

Each billing cycle, you will receive one (1) tube of Carelix Recovery Cream, shipped to the address on file at the time the charge is processed. It is your responsibility to keep your shipping address, email address, and payment information current. We are not responsible for shipments sent to an outdated address that you failed to update before the renewal charge.


5. Pricing, Billing, and Renewals

5.1 Price. The Subscription price is $20.00 USD per month, plus any applicable sales tax and shipping fees disclosed at checkout. This is the total amount you will be charged on each recurring billing date unless we provide advance notice of a change under Section 5.4.

5.2 First Charge. Your payment method is charged at the time you place your initial order.

5.3 Recurring Charges. After your first charge, your payment method will be charged once every month on the same calendar day as your initial order (or the closest equivalent day in months with fewer days, e.g., the 28th in February). This will continue until you cancel.

5.4 Price Changes. We may change the Subscription price from time to time. We will notify you by email at least thirty (30) days before any price change takes effect. Your continued enrollment after the effective date of the price change constitutes acceptance of the new price. If you do not agree to the new price, you may cancel under Section 6 before the change takes effect.

5.5 Failed Payments. If a charge fails, we may retry the charge over the following several days. If we are unable to successfully charge your payment method, we may suspend or cancel your Subscription. You remain responsible for amounts owed for products already shipped.

5.6 Taxes. You are responsible for any applicable sales, use, or similar taxes. These will be added to your charge where required.


6. How to Cancel

6.1 You may cancel your Subscription at any time. There is no minimum commitment and no cancellation fee.

6.2 Cancellation Method. To cancel, send an email to hello@carelix.health from the email address associated with your Subscription. To help us process your request promptly, please include:

  • Your full name;
  • The email address on your account;
  • Your order number or subscription ID (if available); and
  • A clear statement that you wish to cancel your Subscription.

[INTERNAL NOTE — REMOVE BEFORE PUBLISHING: California, New York, and several other states require subscribers who enrolled online to be able to cancel online via a method "at least as easy" as enrollment. To be fully compliant, you should also offer (a) a self-serve cancel button in the customer account portal, or (b) a one-click cancellation link in your welcome and shipping confirmation emails. Add language here describing the online method once it's live.]

6.3 Cancellation Timing. Cancellation is effective when we receive your request. To stop the next monthly charge, your cancellation request must be received at least three (3) business days before your next billing date. Requests received fewer than three (3) business days before your next billing date may not stop that month's charge, but will stop all subsequent charges and shipments. You will still receive any product already paid for.

6.4 Confirmation. We will send you an email confirming your cancellation within two (2) business days of receiving your request. If you do not receive a confirmation, please contact us again at hello@carelix.health so we can ensure your request was received.


7. Refunds and Returns

7.1 General Policy. Charges for products that have already shipped are non-refundable. Cancelling your Subscription stops future charges but does not refund prior charges. You will receive the product for any billing cycle for which you have already been charged.

7.2 Damaged or Defective Product. If your product arrives damaged, defective, or materially different from what you ordered, contact hello@carelix.health within fourteen (14) days of delivery with a description of the issue and photographs where relevant. We will arrange a replacement or refund at our discretion.

7.3 Lost or Undelivered Shipments. If tracking shows your shipment as delivered but you did not receive it, contact us at hello@carelix.health within fourteen (14) days so we can investigate with the carrier.


8. Shipping

Your first order typically ships within [X] business days of order placement. Subsequent monthly shipments typically ship within [X] business days after each renewal charge. Delivery times depend on your location and carrier. We are not responsible for carrier delays.


9. Product Disclaimer

Carelix Recovery Cream is a topical personal care product. It is not a drug and is not intended to diagnose, treat, cure, or prevent any disease. Statements made about the product on our website or in marketing materials have not been evaluated by the U.S. Food and Drug Administration. Results vary from person to person. Consult a qualified healthcare professional before use if you have a medical condition, are taking medication, are pregnant, or are nursing. Discontinue use if irritation occurs.


10. Modification of These Terms

We may revise these Terms from time to time. If we make material changes that affect your Subscription, including changes to price or cancellation procedures, we will notify you by email at least thirty (30) days before the change takes effect. Continued enrollment after the effective date constitutes acceptance. If you do not agree, you may cancel under Section 6 before the change takes effect.


11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Carelix, its affiliates, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your Subscription or use of the product. Our total aggregate liability to you for any claim arising out of or related to the Subscription shall not exceed the amount you paid us in the twelve (12) months preceding the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.


12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Subscription shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.


13. Entire Agreement; Severability

These Terms, together with our Privacy Policy and any other policies referenced at checkout, constitute the entire agreement between you and Carelix regarding the Subscription. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
